What is Enterprise Portfolio Suggestion Box?

The Nortel Enterprise Portfolio Suggestion Box (EPSB) Program is a web-based tool for Nortel employees, distributors and resellers, and end-user customers to quickly and conveniently submit ideas and suggestions for new features and functionality for Nortel product offerings, including product enhancements, improvements, or other modifications, and even completely new products, for voice, data, and converged communications focused on the enterprise market segment.

Why EPSB?

Nortel wants to provide products that meet its customers' needs today and continuing into the future.  We believe that one way to do that is to listen to your ideas about what you think the features and functionality of those products should be.  To receive and evaluate your ideas and to obtain the broadest possible cross section of input from our enterprise customer base, we have developed the EPSB Program.

Evaluation of Your Ideas

If you agree to participate in the EPSB Program, your ideas for new features and functionality, product enhancements, and new products will be carefully evaluated by Nortel.  Of course, you understand that the decision as to whether to implement your ideas will be at Nortel's sole discretion.

How to Participate

Before you can submit your ideas for product enhancements, new features, and functionality or new products, please read and agree to the following terms and conditions of participation in the EPSB Program:

If you represent a Nortel distribution and reseller channel or end-user customer, to participate in the Enterprise Portfolio Suggestion Box (EPSB) Program, you must agree to the terms and conditions set out below.

PLEASE READ EACH PARAGRAPH CAREFULLY

By submitting through the Nortel EPSB Program website, your ideas and/or suggestions for new products or for feature or functionality enhancements or other modifications to current Nortel products (collectively �Ideas�), you agree, on behalf of yourself if the Ideas belong to you, or on behalf of your company (identified below) if the Ideas belong or are deemed to belong to your company, with Nortel Inc. (�Nortel�) as follows:

1. You understand and agree that your submission of your Ideas does not create any obligation for Nortel to hold those Ideas in confidence or prevent Nortel from disclosing them to others.

2. You understand and agree that your submission of your Ideas does not create any obligation for Nortel to implement or incorporate them in future products or releases or otherwise take any other action based on your submitted Ideas.

3. You understand and agree by submitting your Ideas that, upon submission under the EPSB Program, ownership of your Ideas shall vest completely in Nortel, and you hereby irrevocably assign, transfer, and convey all title and ownership of these Ideas, including any and all intellectual property rights arising therefrom, to Nortel.  You agree to cooperate with Nortel in perfecting such intellectual property rights.

4. You understand and agree by submitting your Ideas that, if Nortel decides to act on or use any of your Ideas and implement or incorporate them in future product releases, you hereby irrevocably waive any claim whatsoever for any fee or other compensation of any kind in connection with such use, incorporation, or implementation, including any and all royalties on the sale, lease, or licensing or other transfer of any future products using, incorporating, or implementing your Ideas.

5. You understand and agree that the full and complete consideration for your agreement to these terms and conditions is Nortel undertaking to consider your Ideas for possible future use, incorporation, and/or implementation in products.

6. This agreement will be governed by and interpreted under the laws of the State of Texas, except its rules concerning the conflict of laws.  This agreement states the entire agreement between you and Nortel concerning this subject matter and supercedes all prior discussions, agreements, and understanding, either written or oral.  This agreement may not be amended except by a writing signed by you (or another authorized representative of your company) and an authorized representative of Nortel.  This agreement may not be amended orally.

7. You represent and agree that you have fully read and understand all of these terms and conditions for participation in the EPSB Program.  If the Ideas being submitted belong to your company (identified below), you agree on behalf of your company to be legally bound by these terms and conditions, and you confirm that you are authorized to enter into this agreement on behalf of your company.  If the Ideas being submitted belong to you, you agree to be legally bound by these terms and conditions.
